1. Introduction

Welcome to Clippsly, a music sharing platform operated by Clippsly Ltd (CRN. 14154014), located at Unit A 82 James Carter Road, Mildenhall Industrial Estate, Mildenhall, Suffolk, England, IP28 7DE ("Clippsly," "we," "us," or "our"). These Terms of Use govern your use of Clippsly and any related services we provide.

2. Acceptance of Terms

By accessing or using Clippsly, you acknowledge and agree to be bound by these Terms of Use. If you do not agree with any part of these terms, you should refrain from using the platform. These Terms of Use create a legally binding agreement between you and Clippsly, and your continued use signifies your acceptance of these terms.

3. Account Registration and Authentication

OAuth2 Authentication: Clippsly supports OAuth2 authentication through Roblox, YouTube, and Discord for account login. Users may also link their profiles to additional platforms such as Twitch, SoundCloud, and X (formerly Twitter). By using these third-party services, users authorize Clippsly to access certain information, like profile details, for account creation and verification.

Email and Password Authentication (ClipID): Users can also register via ClipID, which uses email and password for login, solely for receiving verification codes. Your email will not be used for marketing purposes or shared with third parties.

User Responsibility: Users are responsible for securing their third-party accounts and ClipID credentials. Keep your login details confidential to protect your account.

Age Restrictions: Users must be at least 13 years old to create an account. Users under 18 must obtain parental consent.

UK Only: Users in the United Kingdom must complete an age verification process in order to access age-restricted content on Clippsly, such as posting comments or listening to explicit tracks.

Account Region Assignment: A user’s region is automatically determined by their IP address on their first login and permanently assigned to the account (e.g., if a user logs in from Poland, their account will be bound to “PL” as their region). Region assignments cannot be changed except in exceptional cases at the discretion of Clippsly Support.

Account Deletion: You can delete your account at any time through the settings. If needed, contact support at [email protected] for assistance. However, if your account has been suspended or terminated for violations of these Terms of Use, Clippsly reserves the right under Article 6(1)(f) of the EU GDPR and UK GDPR to refuse deletion requests where data must be retained for fraud prevention, ban enforcement, and the protection of our services.

Termination of Accounts: Clippsly reserves the right to suspend or terminate accounts for violations of these Terms of Use or misconduct. Associated third-party authentication tokens will also be revoked.


4. Data Handling and Privacy

Clippsly collects certain information to operate and protect the platform:

  • IP Addresses: We collect and process IP addresses for the purposes of detecting and preventing ban evasion, fraud, enforcing account region assignment, and other violations of our Terms of Use. This processing is based on our legitimate interest under Article 6(1)(f) GDPR and UK GDPR.

  • Non-Personal Data: We collect usage information to improve your experience and analyze trends.

  • Storage & Security: Your data may be stored on servers within or outside your country of residence. While we implement reasonable measures to protect your data, no method of storage or transmission is completely secure.

You have the right to access, update, or delete your personal information, subject to the exceptions outlined above for banned or terminated accounts.


5. User Content and Conduct

Content Ownership: Users retain full ownership of the content they upload to Clippsly. By uploading content, users grant Clippsly a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and distribute the content as necessary to provide our services, promote the platform, and enable integrations with third-party platforms.

Roblox Integration: If you choose to use the “Publish to Roblox” feature, you agree that your uploaded track will be sublicensed to Roblox Corporation in order to deliver this functionality. Clippsly is not responsible for moderation or distribution decisions made by Roblox, and any disputes regarding Roblox-hosted content must be addressed directly with Roblox.

The “Deliver to Roblox” option is not available for covers, parodies, remixes, or any content not fully owned and originally created by the uploader. Attempting to publish such content through the Roblox integration may result in account termination.

Content Guidelines:
Users are solely responsible for the content they upload. Content must comply with the following:

  • Respectful Conduct: Users must conduct themselves in a civil manner. Homophobia, transphobia, xenophobia, racism and other forms of hate speech are considered zero-tolerance violations and will result in account termination and a permanent IP ban.

  • Religion & Beliefs: Content promoting, criticizing, or debating religious beliefs is prohibited. Users may hold personal beliefs, but Clippsly requires neutrality on this topic. Violations may result in account termination.

  • Legal Compliance: Content must comply with copyright, trademark, and privacy rights. Uploading songs not fully owned or created by the uploader (including remixes, covers, or derivative works without licenses) is strictly prohibited and may result in termination.

  • Prohibited Content: Profanity, hate speech, explicit sexual material, depictions of violence, content promoting illegal activities, deceptive or fraudulent content, and content violating the privacy of others are forbidden.

  • Explicit Content: Users must mark tracks containing profanity, sexual references, or explicit material as “Explicit.”

Roblox Delivery Rejections: If a user fails to deliver proof of track creation upon request in connection with Roblox publishing, the account may be terminated. Such rejections are non-appealable.


6. Moderation and Enforcement

Content Moderation: Clippsly employs human moderators and automated tools to enforce these Terms of Use.

Account Punishments: Possible actions include:

  • Warning

  • Temporary Ban

  • Shadow Ban (restricted visibility without user notification)

  • Account Termination

  • IP/Device Ban (in cases of severe violations or fraud)

Appeals Process: Users may submit one appeal per violation within 14 days of the action. If rejected by a moderator or administrator, the decision is final and the account cannot be reinstated in cases of termination. Appeals are not available for Roblox delivery rejections.

Finality of Decisions: Moderation actions are final.


7. Moderation Automation

Content Detection: Clippsly employs a combination of human review and automated systems for content moderation. While human moderators primarily handle content review, automated systems are used for specific types of detection to enhance efficiency and accuracy.

Human Moderation: Our team of moderators reviews uploaded images and content to identify any inappropriate material, including but not limited to sexual content, sexually suggestive content, and gore content. Final moderation decisions are always made by human moderators to ensure fairness.

Automated Reviews:

  • Music Recognition: Automated systems check uploaded content against copyright databases to detect potential copyright infringements.
  • Image Recognition: AI-powered detection scans avatars, banners, cover art, and other user-generated content (UGC) for violent, harmful, or sexual content.
  • Text Moderation: Automated algorithms review text in titles, comments, and display names to detect harmful, sexual, or violent content. Flagged content is then reviewed by human moderators for final decisions.

Moderation Decisions: Human moderators assess flagged content and determine appropriate actions, such as content removal, warning labels, or escalation for further review.

Continuous Improvement: We continuously refine our moderation processes through ongoing training and technological advancements to enhance accuracy and effectiveness while minimizing errors.

 

8. Payments, Refunds & Chargebacks

Payment Processing: Stripe is used to process payments for Clippsly Plus, Clippsly Pro, and any digital services.

No Refund Policy: All purchases are final. Products are automatically delivered and consumed; refunds are not available. This policy does not affect any rights you may have under applicable consumer protection laws.

Chargebacks: Filing a chargeback is considered fraudulent behavior. If a chargeback is initiated, the associated account will be permanently terminated and the user’s IP address will be banned from accessing Clippsly in the future.


8. Changes to Terms

Clippsly reserves the right to update or modify these Terms of Use at any time. Any changes to the terms will take effect immediately upon posting. It is your responsibility to review the Terms of Use periodically. Your continued use of Clippsly following the posting of updated terms constitutes your acceptance of those changes. We are not obligated to provide direct notification of any changes.

9. Copyright Infringements and Legal Compliance

Intellectual Property Rights: Clippsly respects the intellectual property rights of others and enforces a zero-tolerance policy regarding copyright infringement. Users are strictly prohibited from uploading content that infringes on copyrights or other proprietary rights. Only content created by the user may be uploaded to Clippsly. Users must ensure they have the necessary rights and permissions to upload and share content. Clippsly cannot be held liable for any user-generated content (UGC) and is not responsible for any copyright infringement resulting from user uploads. Any violations of this policy may result in immediate content removal, account penalties, or account termination.

DMCA Compliance: Clippsly complies with the Digital Millennium Copyright Act (DMCA) and promptly responds to valid DMCA takedown notices. If you believe your copyrighted material has been used without authorization, you may submit a DMCA takedown request to [email protected].

DSA Compliance (EU Users): For users within the European Union, Clippsly complies with the EU Digital Services Act (DSA), which establishes obligations for online platforms regarding content moderation, transparency, and user rights. Clippsly has implemented measures to ensure compliance, including mechanisms for users to report and appeal content moderation decisions.

GDPR Compliance (EU & UK Users): Clippsly adheres to both the EU General Data Protection Regulation (EU GDPR) and the UK General Data Protection Regulation (UK GDPR) to ensure the protection of user data and privacy rights. Users within the European Union and United Kingdom have the following rights under GDPR:

  • Right to Access – Users can request a copy of the personal data Clippsly holds about them.
  • Right to Rectification – Users can request corrections to any inaccurate or incomplete personal data.
  • Right to Erasure (Right to Be Forgotten) – Users can request the deletion of their personal data under certain conditions.
  • Right to Restrict Processing – Users can request limitations on how their data is used.
  • Right to Data Portability – Users can request to receive their personal data in a structured, commonly used format.
  • Right to Object – Users can object to the processing of their personal data in certain cases, such as for direct marketing.
  • Rights Related to Automated Decision-Making – Users have the right to challenge decisions made solely by automated processes that have significant effects on them.

Counter-Notification: If a user believes their content was mistakenly removed due to a DMCA takedown notice or any other legal claim, they may submit a counter-notification to request reinstatement. Counter-notifications must comply with the DMCA or other relevant legal frameworks and must be sent to [email protected] for review.


10. Limitation of Liability

No Warranty: Clippsly provides the platform on an "as-is" basis, with no guarantees, representations, or warranties, whether express or implied, regarding the availability, reliability, or accuracy of the platform or its content. You agree to use Clippsly at your own risk.

Indemnification: You agree to indemnify, defend, and hold harmless Clippsly, its affiliates, partners, employees, and agents from any claims, losses, liabilities, damages, or expenses (including legal fees) arising from your use of Clippsly, including but not limited to any violations of these Terms of Use or infringement of third-party rights.

 

Limitation of Liability: To the fullest extent permitted by law, Clippsly, its affiliates, partners, employees, or agents will not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from or related to your use of Clippsly, including, but not limited to, loss of profits, data, or goodwill.


11. Governing Law

These Terms of Use are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
